EconoPlay, Inc. will provide an average of 8 to 10 forecast stories a month covering the following economic indicators: payrolls, retail sales, car sales, international trade, durable goods orders, housing/homebuilding, and CPI/PPI, and other quarterly indicators, such as employment cost index (ECI), and more.

This Subscriber Agreement governs your use of EconoPlay, Inc., online service, and, unless other terms and conditions expressly govern, any other electronic services from made available from time to time, including emails.

This Subscriber Agreement between you and EconoPlay, Inc. (“EconoPlay”) governs your use of EconoPlay, Inc., online service, and, unless other terms and conditions expressly govern, any other electronic services provided from time to time, such as emails. |

Your signature at the bottom means you agree to be bound by the terms of this Agreement. |

1. Changes to Subscriber Agreement. We may change the terms of this Agreement at any time by providing reasonable prior notice to you of the change in writing or electronically. The changes also will appear in this document. You signify that you agree to be bound by such changes by using a Service after changes are made to this Agreement as soon as reasonable practicable after receiving notice thereof. |

2. Fees and Payments. You can always find the current subscription fees for a Service in the subscriber section. You agree to pay the subscription fees and any other charges incurred in connection with your user name and password (including any applicable taxes) at the rates in effect at the beginning of the applicable subscription or renewal period. We will bill all charges automatically to your credit card or send you an invoice for the applicable suscribtion fee at least 30 days prior to the date such fees are payable. Subscription fees will be billed at the beginning of your subscription or any renewal. All fees and charges are nonrefundable. We may change the fees and charges then in effect, or add new fees or charges, by giving you no less than 30 days notice prior to the start of any subscription or renewal period. If you want to use a different credit card or there is a change in credit card validity or expiration date, or if you believe someone has accessed the service using your user name and password without your authorization, you must contact EconoPlay, Inc. You are responsible for any fees or charges incurred to access the service through an Internet access provider or other third-party service. |

3. Renewal. Your subscription will renew automatically, unless we terminate it or you notify us by telephone or mail of your decision to terminate your subscription within 30 days in advance. You must cancel your subscription before it renews in order to avoid billing of subscription fees for the renewal term to your credit card. |

4. Limitations on Use. |

a. Only one individual (the “User”) may access the Service at the same time using the same user name or password, unless we agree otherwise. |
|
b.The content available through the service is our property or the property of our licensors and is protected by copyright and other intellectual property laws. You may display or print the content available through the service for your personal, non-commercial use only. |
|
c.You agree not to sell, publish, distribute, retransmit or otherwise provide access to the content received through the service to anyone other than the User, including other employees, with the following exceptions: |
|
(i) You may occasionally distribute a portion of an article from the service in non-electronic form to a few individuals without charge, provided you include all copyright and other proprietary rights notices in the same form in which the notices appear in the service, original source attribution, and the phrase "Used with permission from EconoPlay, Inc.”. If you plan to mass distribute within or outside your company you must obtain the expressed written permission from EconoPlay, Inc. You may not redistribute articles on a regular basis without expressed permission from EconoPlay, Inc. |

d. You agree not to create abstracts from, scrape or display headlines from our content for use on another web site or service. You agree not to post any content from the service to newsgroups, mail lists or electronic bulletin boards, without our written consent. e.You agree not to use the service for any unlawful purpose. We reserve the right to terminate or restrict your access to the service if, in our opinion, your use of the service may violate any laws, infringe upon another person's rights or violate the terms of this agreement. Also, we may refuse to grant you a user name that impersonates someone else, is protected by trademark or other proprietary right law, or is vulgar or otherwise offensive. |

5. DISCLAIMERS OF WARRANTIES AND LIMITATIONS ON LIABILITY. YOU AGREE THAT YOUR ACCESS TO, AND USE OF, THE SERVICE AND THE CONTENT AVAILABLE THROUGH THE SERVICE IS ON AN "AS-IS", "AS AVAILABLE" BASIS AND WE SPECIFICALLY DISCLAIM ANY REPRESENTATIONS OR WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, ANY REPRESENTATIONS OR WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. We do not give tax or investment advice or advocate the purchase or sale of any security or investment. You should always seek the assistance of a professional for tax and investment advice. |

6. All articles contained in EconoPlay, Inc. are forward-looking and do not always reflect U.S. government data, which is often subject to revisions and other adjustments. EconoPlay, Inc. accepts no responsibility for variations between its forecasts and U.S. government data that is released at a later point in time. EconoPlay will make every effort to correct human errors but will not accept liabilities that ensue from misprints, typos or other factors that arise from time to time in the reporting, writing and dissemination of information contained therein. EconoPlay will make every effort to distribute its stories in the event of an Internet breakdown, but will not accept responsibility for unforeseen electronic mishaps. In the event of a computer crash, EconoPlay will make every effort to disseminate its stories through an alternative system, whether by email or otherwise. |

ECONOPLAY, INC. AND ITS SHAREHOLDERS, DIRECTORS, OFFICERS, EMPLOYEES AND LICENSORS WILL NOT BE LIABLE (JOINTLY OR SEVERALLY) TO YOU OR ANY OTHER PERSON AS A RESULT OF YOUR ACCESS OR USE OF THE SERVICE FOR INDIRECT, CONSEQUENTIAL, SPECIAL, INCIDENTAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING, WITHOUT LIMITATION, LOST PROFITS, LOST SAVINGS AND LOST REVENUES (COLLECTIVELY, THE "EXCLUDED DAMAGES"), WHETHER OR NOT CHARACTERIZED IN NEGLIGENCE, TORT, CONTRACT, OR OTHER THEORY OF LIABILITY, EVEN IF ANY OF THE ECONOPLAY, INC. PARTIES HAVE BEEN ADVISED OF THE POSSIBILITY OF OR COULD HAVE FORESEEN ANY OF THE EXCLUDED DAMAGES, AND IRRESPECTIVE OF ANY FAILURE OF AN ESSENTIAL PURPOSE OF A LIMITED REMEDY. IF ANY APPLICABLE AUTHORITY HOLDS ANY PORTION OF THIS SECTION TO BE UNENFORCEABLE, THEN THE ECONOPLAY, INC. PARTIES' LIABILITY WILL BE LIMITED TO THE FULLEST POSSIBLE EXTENT PERMITTED BY APPLICABLE LAW. |

7. General. This Agreement contains the final and entire agreement between us regarding your use of the service and supersedes all previous and contemporaneous oral or written agreements regarding your use of the service. We may discontinue or change the service or its availability to you, at any time. This Agreement is personal to you, which means that you may not assign its rights or obligations under this Agreement withour the express written permission of EconoPlay. No third party is a beneficiary of this Agreement. You agree that this Agreement, as well as any and all claims arising from this Agreement will be governed by and construed in accordance with the laws of the State of New York, United States of America applicable to contracts made entirely within New York and wholly performed in New York, without regard to any conflict or choice of law principles. The sole jurisdiction and venue for any litigation arising out of this Agreement will be an appropriate federal or state court located in New York.
